General Terms and Conditions

Article 1. Scope

1.1 These general sales conditions are applicable to all The Solution Shop’s offers, orders and agreements, to the exclusion of all other general conditions (hereinafter: Conditions). These Conditions have been filed with the Chamber of Commerce in Tilburg under the number 5102519 and will be sent to you free of charge on request. These Conditions can also be viewed on the Internet, see

1.2 By placing an order at The Solution Shop you agree to our terms and conditions.

1.3 Any divergency from these Terms has to be agreed in writing in order to take legal effect. In that case, all remaining provisions of these Terms and conditions apply.

1.4 All rights and claims as stipulated in these Conditions and if applicable in additional agreements for the benefit of The Solution Shop, are likewise stipulated for the benefit of intermediaries and other third parties.

Article 2. Quotations / Contracts

2.1 All offers and quotations made by The Solution Shop are without obligations. The Solution Shop is entitled to change its prices – in particular if required by (legal) provisions. Please also refer to Article 3.5.

2.2 Contracts shall not be deemed concluded until The Solution Shop has accepted your order. The Solution Shop is entitled to reject orders for reasonable grounds or subject the order to special delivery terms. In the event your order is being rejected you will be informed within a term of ten weekdays.

Article 3. Prices and Payment

3.1 Unless otherwise clearly indicated or agreed in writing, the prices for items and services offered will be in Euro, exclusive of VAT and exclusive of possible shipping expenses, tax or other fees. Freight and handling costs depend on the delivery address. In case the order amount exceeds the freight cost free limit, we will not charge any freight and handling costs

3.2 You are entitled to choose amongst the payment options offered during the payment procedure. Your order might be subjected to additional (payment/order) terms. In the case of payment by bank or giro account, the applicable date of payment is the date of the credit entry in The Solution Shop giro or bank account.

3.3 In some occasions on account payment is also available according the following terms:
- If you are situated in the Netherlands and have a valid VAT and Chamber of Commerce number.
- If you are situated in Germany and have a valid European Ust. Id Nr.
- For other countries this option is only available on request. We will then apply for a credit insurance.
- The maximum order total on account is EUR 650.00. New orders on account cannot be placed until unpaid invoices have been paid.
- If the term of payment is exceeded, the client is in default without any notice from the date the payment should have been made and will be obliged to pay an interest fee of 0.75% per month (in which, a part of a month is -viewed as a complete month). If the client defaults on any payment, the client is legally obligated to pay the extra-judicial collection costs to The Solution Shop, in addition to the aforementioned interest. In the case of business clients, The Solution Shop is also entitled to collect the actual extra-judicial collection costs, if these exceed the amount calculated.
- In case you should fail to pay full and in time, The Solution Shop is entitled to suspend or terminate the respective contract and any and all agreements related.
- Reminder costs: in the event of overdue payment, the amount to be paid shall be increased to include administration fees.
- Collection agency: If payment has not been made after the reminder, a written notice of default will be sent. If, after all this, payment is still not forthcoming, the claim will be passed to our debt-collection agency. The purchaser is liable for all the associated costs, as well as statutory interest.
- By accepting these Conditions you declare that you are familiar with the contents of the terms of payment and the fact that mentioned extra costs can be collected, in case of late payment.

3.4 If you do not pay in full promptly, The Solution Shop is entitled to suspend or dissolve the relevant agreement and any potential agreements associated with it.

3.5 If the prices of the items and services offered increase in the period between the time that you order and the fulfilment of your order by The Solution Shop, you are entitled to cancel the order or dissolve the agreement within ten (10) days of being notified of the price increase by The Solution Shop.

Copy of Invoice

We always send our invoices by e-mail. However, if you need a printed copy of your invoice for business reasons, please contact us. Please don’t forget to state your order number, invoice number and address. We will send the copy to the invoice address you provided us with as quickly as possible. Please note that information provided on this copy cannot be changed or adjusted subsequently.

Article 4. Delivery

4.1 Products weighing up to 30 kg or orders of a total shipping weight below 30 kg are shipped with a reliable and recognized parcel service (like DPD). Products weighing more than 30 kg or feature special shape or extent will be shipped differently.

4.2 The packaging unit of products may differ from the sales unit shown in the webshop. Also, one delivery can contain different packing units of the same product, or multiple deliveries can contain different packing units of the same product. In our warehouse the ideal packaging unit is determined at the time of packing.

4.3 Orders placed before 1 p.m. (CET) will usually be shipped the same day. You can find the estimated delivery time on our website.

4.4 The day we send your parcel, The Solution Shop will also send you a shipping confirmation to inform you about the shipment.

4.5 On the shipping day, The Solution Shop will provide you with a so-called track & trace number that enables you to track your order’s shipping status online. You can see the estimated delivery time by entering your tracking number on the following website:

4.6 In case DPD attempts to offer your parcel but you are not at home, you will receive a delivery notification. On this notification you will find further instructions to receive your parcel or to pick up your parcel at the nearest DPD pick-up point.

4.7 Exceedance of the delivery time does not entitle you to compensation

4.8 The delivery is the time the items are delivered at the stated delivery address or picked up at the Pick-up point using the carrier’s delivery notification.

Article 5. Reservation of ownership

5.1. The ownership of the supplied products will only be transferred once the requested amount has been paid. The risk in respect of the goods shall pass at the time of the delivery.

Article 6. Complaints and liability

6.1 Check the delivered products immediately upon receipt. Any defects must be reported to The Solution Shop in writing within 7 working days.

6.2 If it is clear that an article does not comply with the agreement, it should be returned to The Solution Shop which shall undertake to either replace the article with a new one or refund the invoice price, plus the paid shipping costs.

Article 7. Orders/communication

7.1 The Solution Shop does not accept any liability for misunderstandings, damages, delays or improperly executed orders and communications resulting from the use of the Internet or any other means of communication between you and The Solution Shop, or between The Solution Shop and third parties, unless it concerns an intentional act or gross negligence.

Article 8. Force Majeure

8.1 There shall be no question of force majeure on our part unless, after entering into the agreement, we are prevented from our obligations pursuant to it or the preparations for the agreement as a result of war, threat of war, civil unrest, fire, water damage, flood, strike, sit-in, workplace exclusion, import and export barriers, government measures, machine breakdowns, failures in the supply of energy, be this in our own company or that of third parties from whom we wholly or partly obtain the necessary materials, including during storage or transport, whether or not in our own management, and by all causes beyond our control.

8.2 The agreed delivery time will be extended by the amount of time by which the contract is delayed through force majeure.

8.3 If delivery is delayed for more than 2 months because of force majeure, we are then authorised to consider the agreement terminated, while the purchaser cannot exercise any right to compensation of the costs, damage and/or interest.

Article 9. Miscellaneous

9.1 No rights may be claimed based on the fact that The Solution Shop has been flexible in the application of these Conditions.

9.2 If one or more of the provisions in these Conditions or any other contract with The Solution Shop should be in conflict with any applicable legal provision, the clause concerned will cease to be valid and will be replaced with a new, comparable clause.

9.3 The Solution Shop is entitled to use third parties to execute orders.

9.4 Without prejudice to other rights retained by The Solution Shop, The Solution Shop has the right in the case of force majeure to suspend the execution of your order or terminate the contract in writing without judicial intervention.

Article 10. Applicable law and jurisdiction

10.1 These Conditions and all rights, obligations, offers, orders and agreements to which these Conditions are applicable, are governed exclusively by Dutch law.

10.2 Any differences between the parties shall be submitted exclusively to the competent court in The Netherlands.
